Tulsa World: "Massachusetts firm acquires Tulsa-based Willbros Professional Services"

TRC Companies, Inc., a Massachusetts-based integrated services firm, announced Tuesday that it has completed the acquisition of Willbros Professional Services, a Tulsa-based business segment of Willbros Group.

Ed Wiegele, who was previously with the business and will stay on as senior vice president of TRC Pipeline Services, said that operations will remain in Tulsa.

“We’re committed to Tulsa,” Wiegele said. “We’ve been here a long time, and we want to grow in the Tulsa area.”

TRC Chairman and CEO Christopher P. Vincze also emphasized the likelihood of expanding the workforce in the area.

TRC Completes Acquisition of Willbros Professional Services

Acquisition expands growth opportunities in Oil and Gas nationally

LOWELL, MASS. – Dec. 1, 2015 -- TRC Companies, Inc., a recognized leader in engineering, environmental consulting and construction management services to the energy, environmental and infrastructure markets, announced today that it has completed the previously announced acquisition of the Professional Services business segment of Willbros Group (NYSE: WG) in an all cash transaction valued at $130 million. TRC expects the transaction to be accretive to fiscal 2016 EBITDA (before one-time transaction and integration expenses) and to Fiscal 2017 net income. Willbros Professional Services becomes the fourth operating segment in the TRC portfolio and will be called “Pipeline Services.”

TRC Awarded Substation EPC Project by National Grid

Company will provide engineering, procurement and construction services

LOWELL, MASS. – October 22, 2015 -- TRC Companies, Inc., a recognized leader in engineering, consulting and construction management services to the energy, environmental and infrastructure markets, announced today it has been awarded a contract to engineer, procure and construct a new electric substation in downtown Providence, Rhode Island, to replace National Grid’s existing South Street Station. This award represents the primary outsourced solution to completing a four-year, multi-faceted project, which includes the installation of 165 Megawatts of 115kV transformation. The new substation will support National Grid’s customers, including the City of Providence and much of the downtown Providence area, with safe, efficient and reliable electricity for years to come.

“TRC is proud to expand our long-standing relationship with National Grid by supporting them on this critical project,” said Chris Vincze, Chairman and Chief Executive Officer. “As energy companies continue to tackle the issue of aging infrastructure and reliable service, TRC is dedicated to providing our utility clients with technical expertise and creative solutions to better serve their customers and the communities in which they work.”

Under the contract, TRC will construct a new South Street Substation. Among other things, the work is planned to include an all new Control and Switchgear Building and adjacent yard; conversion of existing overhead line supply circuits to underground cable circuits; re-route of the existing underground feeder facilities to the new substation; performance of related substation modifications at remote substation terminals; and removal of existing overhead line circuits, unused portions of existing feeder getaways and substation facilities including the existing switchgear building.

Replacing the aging substation with new equipment and materials will improve efficiency and support National Grid’s delivery of safe and reliable electricity to its customers. The project will also improve the environment and enhance skyline and river views by removing existing steel transmission towers.

Design and engineering for the project has begun and is expected to be complete in early 2016. The project is well into the permitting phase for regulatory and municipal approvals. The remaining construction, transmission installation and demolition activities will take place over three years and will commence upon receiving all needed permits. The new station is expected to be fully functional and the site restored to its original state by the end of summer 2019.

The transaction is subject to customary closing conditions, including expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act, and is expected to close during the second quarter of TRC’s fiscal 2016. The transaction does not require a vote of the stockholders of Willbros Group or TRC.

Receives Bronze certification for processes and actions

Previously, he served in leadership positions for a number of energy companies, including Primary Energy Ventures LLC and Trigen Energy Corporation.

Hall was a co-founder of the U.S. Combined Heat and Power Association while at Trigen and has been an active member of several industry associations that work with federal, state and local legislators, regulators and related stakeholders in the areas of energy and environmental policy. He has a Bachelor of Arts degree in Chemistry from Austin College in Sherman, Texas and a Master of Science degree in Environmental Science from Indiana University’s School of Public and Environmental Affairs in Bloomington, Indiana.

The innovative science education program teaches students about conservation through a Zero Waste curriculum. TRC will also lead the voluntary Science Day at Mather Elementary School on June 17, 2015.

The curriculum will be an ongoing program provided to the school through the 2015-2016 school year starting in August.
